For your limited company to be classified as dormant and able to file dormant accounts it has either
A. Not made any significant transactions since incorporation (never traded) or
B. Not made any significant transactions during the entire accounting period.
A significant transaction would include making any sales or purchases, paying salaries, dividends, bank charges, or earning interest.

I have unpaid shares, what will happen?
As a rule if your company has issued shares which have not bee paid when submitting your dormant company accounts, these will be recorded as paid to prevent HMRC claiming tax is owed.
HMRC may consider the value of unpaid shares to be a loan which could create a tax liability.

My accounts are late, what should I do?
Unfortunately if your accounts are late, Companies House will impose a fine ranging from £150 if you’re less than 1 month late right up to £1,500 if your more than 6 months late, unfortunately if you where also late last year this amount is doubled.
If you’re company accounts are overdue the only way to avoid the penalty is to dissolve the company. You may however file the accounts and then appeal against the penalty, in our experience it is extremely rare for appeals to be successful. Not knowing they where due, not receiving a reminder, not knowing how to do it and not having your web filing code would all be refused.
